We advise on company formation, including drafting of corporate constitutive documents, and joint venture agreements, corporate governance issues, issuance of stock, regulatory and compliance matters, including compliance with European Union Directives, corporate restructuring.

We pioneered the use of Opinion Letters issued by government agencies in Romania. We obtained on behalf of Colgate-Palmolive America the first Opinion Letter issued by a Romanian government agency, i.e. the Romanian Development Agency in post-communist Romania. We subsequently obtained other Opinion Letters on behalf of Amoco, ARCO, Elite Romania, European Bank for Reconstruction and Development, Forest Corporation, Leventis, Mayr-Melnhof Packaging Romania, Pak from the Ministry of Finance, the National Bank of Romania, the Romanian Development Agency, and the General Customs Directorate.

We acted as counsel to the European Commission with regard to studies on legal and market aspects of the application of the electronic signatures Directive 1999/93/EC, the impact of regulation on TV advertising markets with reference to the areas covered by chapter IV of the TVWF Directive, and the legal recognition of electronic documents in Romania.
